Biography
Sherry El Shalakany joined the Firm in November 2007 in the Corporate Department up to date. Sherry provides day-to-day legal advice to multinational and Egyptian companies on various aspects, such as but not limited to corporate, commercial, insurance, reinsurance, capital markets, employment and tax issues.


Sherry is working on establishment of companies and provide clients with various of services relating to drafting and reviewing full suite of documents in relation to companies’ incorporation, corporate agreements, including shareholders and joint venture agreements, as well as drafting and attending BOD and General Assemblies minutes.


Sherry has wealth of experience in employment matters in providing legal advice on employee issues including hiring, firing, discipline, leave and attendance, employment agreements, severance agreements, misconduct, internal investigations, reductions in force. Advising on collective agreements, employees unions and service agreements, representing clients in the negotiation of professional termination, procedures, precautions and the consequences thereto.


Sherry is involved in drafting and reviewing most types of contracts, such as property sales and lease, supply, agency and distribution, loan, pledge, mortgage agreements and all other necessary documentation.


Sherry worked on numerous numbers of merger and acquisition transactions involving advanced level of due-diligence report, attending extensive negotiations and drafting the necessary transactional documents.


Sherry is a part of the team that provides legal services to multinational clients such as but not limited to Allianz, Shell, Japan International Corporation Agency (JICA), Beko, LG, Majorel, ENI, SUMED, LUKOIL, Aramex, Amazon, Nestle, MoneyGram, Petronas, Vara – MX Healthcare Gmbh, The Three Corners Hotels and Resorts, Bird & Bird Group, Aabar Investments PJS, Arla, Avon, Axa Insurance, Baker Hughes, Bein, Blumberg, Crown Concepts, DHL, Intel, Intercare, Saipem, Schlumberger, TCL, Solvay, and United Bank of Switzerland.


Sherry is a member of the team that handled several deals and projects in different areas of practice.


The following are the highlights of such deals and projects:


  • “Pier 55”
    Successfully represented the Egyptian Group for Multi-Purpose Terminals (EGMPT), a state owned concessionaire of Piers 55-62 in Alexandria Port, in a Joint Venture with CMA Terminals Holding (CMATH) jointly with CMA Terminals, one of the top ten international container terminal operators. The project is for a total value exceeding 1 billion pounds and aims at equipping, managing, operating, and maintaining a multipurpose terminal entitled Tahia Misr Terminal (Piers 55-62) Alexandria Sea Port.

  • “Ain Sukhna Product Hub ASPH”
    Assisted Arab Petroleum Pipelines Company, S.A.E. “SUMED” in financing Ain Sokhna terminal hub by drafting and negotiating long term loan agreement not exceeding USD 300 million.
    Entered into extensive negotiations and drafting all relevant agreements required to purchase two Rotor Tugs in conjunction with the project, on the basis of 12 years time charter, management, operation, dry docking, mand maintenance services.

  • “Shouna Project”
    Part of the team who assisted Blumberg Grain with the preparation and negotiations of shouna development project.

  • “Project Crown”
    Advised the Ministry of Petroleum on a potential restructuring on EGPC and its affiliated companies (EGAS, ECHEM and Ganope) to develop and modernize the Egyptian oil and gas industry by studying legal documentation and performing a complete detailed analysis of the implications of the restructuring.

  • “Project Horus”
    Legal advisor to Petronas Lubricants International on the first of its kind transaction to establish a 50:50 Joint Venture with Misr Petroleum for the sales and marketing of lubricants in the local and export markets. Attended extensive negotiations and drafted the joint venture agreement, as well as other project agreements for the purpose of executing the business of the transaction.

  • “Project Newton”
    Acted as the local counsel of the sale of the ice cream business and carve out assets of Nestlé SA and assisted in reviewing the relevant transaction documents.

  • “Project Zebra”
    Acted as the team leader of the acquisition of Azadea Group Holding SAL, which is the operator of international franchises for clothing, accessories, food, multimedia, home furnishings and sporting goods brands in the Middle East.

  • “Project Sunny Beach”
    Assisted the Three Corners Hotels & Resorts to acquire 51% of the shares of Sunny Egypt for Touristic Development Co., which operates Sunny Beach, four stars Resort in Hurghada.

  • “Project Lion”
    Assisted in the acquisition of 100% of the share capital of Misr Glass Manufacturing Company to Middle East Glass Manufacturing Company.

  • “Project Skies”
    Assisted in the sale of 100% of the share capital of Halayeb for Dairy products and Juice to Danone.

  • “Project Seeds”
    Assisted in the sale of 100% of the issued share capital of El Rashidi El Mizan Confectionary Factory.

  • “Project Arla”
    Assisted in purchasing of 100% of the share capital of Arab Dairy Products Company "Arab Dairy-Panda”.
